Protecting Our Creative Future

This comprehensive Non-Disclosure Agreement (the "Agreement") is executed between IIVVY and the party accessing these proprietary materials ("Recipient"). By viewing this content, the Recipient agrees to the following legally binding provisions:

1. PROTECTION OF CORE INNOVATIONS
Recipient acknowledges that all Confidential Information, specifically including IIVVY’s demo application, conceptual ideas, investor pitches, structural framework designs, and proprietary AI retail methodologies, represents the exclusive intellectual property of IIVVY. This Agreement serves to safeguard these high-value assets against unauthorized use or disclosure.

2. PROHIBITION OF REPLICATION
The Recipient is strictly forbidden from copying, remaking, duplicating, mimicking, or reverse engineering any aspect of the IIVVY demo app, its source code, or its specialized methodologies. No portion of the structural design or AI logic may be adapted or used to develop competing products or services. The Recipient shall not enable any third party to engage in such prohibited activities.

3. NON-DISCLOSURE AND SECURITY OBLIGATIONS
The Recipient must maintain the strictest confidentiality, preventing any leakage of IIVVY’s trade secrets. This includes verbal descriptions and digital reproductions. Detailed internal workflows and strategic retail AI concepts shared herein must remain private. Any physical or digital assets related to these proprietary concepts must be returned or permanently deleted within twenty-four hours of a formal request by IIVVY.

4. DURATION AND GOVERNING LAW
The non-use and non-disclosure obligations defined in this Agreement shall persist for five years from the date of initial access. This Agreement is governed by the laws of the jurisdiction of IIVVY’s registration. IIVVY reserves the right to seek legal remedies, including injunctive relief, to penalize any infringement of its commercial and creative rights.
